Terms & Conditions

  1. Application of Terms and Conditions
    1. Special terms and conditions may also be applicable with respect to each individual service offered by IaaS Provider
    2. These terms and conditions are applicable to all services offered by IaaS Provider to its clients.
  2. Duration
    1. The terms and conditions come into effect with respect to each individual service from the later of the dates:
      1. The client and IaaS Provider sign a service agreement for any service(s)
      2. Start date of supplying of services by IaaS Provider
    2. The terms and conditions will be valid for the entire duration mentioned in the service agreement between IaaS Provider and the clients. The terms and conditions will remain in effect forever until one of the party gives a 30 days’ written notice that they don’t want to renew the agreement. In all other cases, the terms and conditions will remain in effect unless the agreement is terminated.
  3. Passwords
    1. IaaS Provider may provide usernames and passwords to its clients for using their services. These details are unique for each client, and the client should not allow the use of username/passwords by any unauthorized third party.
    2. IaaS Provider will assume that the usernames and passwords are being used by the client or third parties authorized by the client. IaaS Provider is not liable for any unauthorized use of the client’s username or password.
    3. If the client believes that their username or password have been compromised, they should notify inform IaaS Provider immediately. As soon as IaaS Provider gets such notifications, they will:
      1. Provide the client with a new set of username/password
      2. Disable the earlier username/password and make them invalid
  4. Fees
    1. Fees for each individual service is listed on the prices page
    2. Fees shown as ‘set up costs’ will be charged any time after the service agreement has been signed
    3. All fees that are recurring will be invoiced in advance as per the frequency included in the service agreement
  5. Right to change fees
    1. IaaS Provider reserves the right to modify fees for any of its services.
    2. IaaS Provider will provide a notice of at least 60 days before increasing the fees for any of the services.
  6. Payment
    1. The client should pay IaaS Provider within 30 days of issuance of an invoice
    2. If the client wants to dispute regarding any specific items in the invoice, they should raise an issue with IaaS Provider within 7 days.
    3. In cases of dispute, the client is required to pay the total amount within the 30-day deadline. If the discrepancy is found to be valid, IaaS Provider will correct the discrepancy in the subsequent invoice
    4. In some cases, IaaS Provider may require advance payments for provision of services, such as purchase of additional hardware, among others. The client will be notified in advance if there’s any such requirement.
    5. If there is a delay in the payment of fees, IaaS Provider may charge an interest of 10 percent per annum on such late payments. Such interest will be calculated from the day the invoice is overdue till the day the payment is made.
  7. Publicity
    1. At all times during the duration of the service agreement, IaaS Provider will identify its client in its marketing and promotional materials, such as websites and other marketing literature. IaaS Provider will use things like the client’s logo and their trading name for identification.
    2. The client can withdraw this consent to publicity anytime by giving a 14-day notice
  8. Confidentiality
    1. All information that is confidential in nature shall be considered as confidential and shall not be used other than for the benefit of the client or for fulfilment of IaaS Provider’s obligations towards the client.
    2. Both parties agree not to disclose any confidential information about each other, without prior consent from the other party.
    3. The confidentiality clause is not applicable to the following information:
      1. Information that is obvious or insignificant
      2. Is publicly available
      3. Is received from a third party who has lawfully acquired such information without any restrictions on disclosure
    4. If any party requests, the other party will promptly return to the other party all the confidential information, and destroy and eliminate such information from its systems.
  9. Applicable law
    1. The service agreement will be governed as per the laws of Netherlands. Any dispute shall be referred to competent courts in the Netherlands.
